“IPO Prospects for Ukrainian Companies”

“IPO Prospects for Ukrainian Companies” Forum, a unique cross-industry
event designed to analyze the prospects of Ukrainian companies to seek access
to finance including the process of IPO in national and international investment
arenas, took place in Kyiv. The Forum was the first large-scale event fully devoted
to IPO prospects for Ukrainian companies. It has enabled companies to assess
the opportunities of entering the market, the problems which may be encountered by
entering the stock market, and the means by which to address these problems.
The focus was made on the strategy of companies’ preparation for IPOs.

the Eastern and Central Europe
The role and responsibility of company directors when entering IPO market
was one of the issues. The role of directors in defining a strategy for entering
IPO market by the company is known to be decisive, just as the personal liability
of company officers for the information disclosed at entering organized market is
known to be immense. Doing preparations for an IPO, companies make the greatest
investments into the qualification and reputation of their directors. Directors, as
indicators of the quality and readiness of a company to start an IPO,
and D&O liability insurance
in the process of IPO – these were some of the issues that were discussed
at the Forum.
Directors of New York and Warsaw Stock Exchanges analyzed specific
features of entering international trading floors by Ukrainian companies in
their presentations and spoke about particularities of investors’ requirements
to the issuers from the Central and Eastern Europe and typical mistakes
that companies make during IPOs of shares.
Hands-on experience of the companies that have performed IPOs is a best source
of information for those planning an IPO. Representatives of Ukrproduct
– a pioneer of IPO in Ukraine - and companies Wimm-Bill-Dann (Russia),
Matav Group (Hungary) and Turkcell (Turkey) shared their
successful experience of entering international trading floors.
The Forum was designed as a very practical event for the directors of Ukrainian
companies planning to do an IPO. Thus, issues which were covered at the Forum included:
specifics of Ukrainian investment laws relevant to IPO, legal obstacles
to performing an IPO in Ukraine, and development of a competitive IPO market
in Ukraine, in other words, those directly related with present-day activities
of Ukrainian companies.
