Fernando Igartua, Partner, Gomez-Acebo &
Pombo Abogados has joined Gomez-Acebo & Pombo Abogados in 1989 and
was appointed a partner of the firm in 1994. He worked with Linklaters
& Paines (London) as an associate in 1991-1992. His areas of specialization
are: banking, structured finance, project finance and takeover bids,
e-banking and new technologies legislation. President of the Instituto
de Consejeros-Administradores since 2003.

Stefan Jekel, Director, New York Stock Exchange,
has joined the NYSE in March 2001. He is responsible for client service
and new business of the EMEA region. This includes meetings with international
listed companies’ officials and prospects to increase their understanding
of the strategic benefits of an NYSE listing and the NYSE’s service
initiatives. In addition, he is responsible for handling listed companies’
inquiries regarding regulatory issues, compliance, trading and events.
Mr. Jekel had been employed with the New York office of PricewaterhouseCoopers
LLP from 1998 through 2001. As part of Assurance and Business Advisory
Services, he serviced international clients by resolving their cross-border
accounting and reporting issues.

Robert Schaus leads consulting practice of Spektor,
Sachs & Company. Mr. Schaus joined Spektor, Sachs & Company in
September 2002. By then, he had spent 13 years with Bain & Company
in strategic consulting and M&A advice. As a partner of Munich and
Zurich offices of Bain & Company, Mr. Schaus masterminded major strategy
and restructuring projects for German, Israeli and Swiss companies and
private equity funds.
In Ukraine Mr. Schaus is involved in strategy development projects for
Ukrainian and Russian companies; sales systems optimization; design and
implementation of cost reduction schemes; developing and strengthening
investor relationships. Mr. Schaus managed major transactions for Polish
and Ukrainian Government, and worked on privatization projects in FMCG
and industry sectors.

Dorian B. Foyil, President and Chief Investment Officer,
Foyil Securities
As a London-based analyst for UBS Securities, he was Number One
rated in the 1990 Extel Survey. During his subsequent five-year tenure
with the Franklin-Templeton Investment Management firm, he had direct
portfolio responsibility for some $800m in global and emerging market
mutual funds and institutional pension assets.
Foyil Asset Management was established in 1996 by Dorian B. Foyil who
serves as the company’s President and Chief Investment Officer. He has
been active in the investment management industry for more than 16 years.

Wieslaw Rozlucki, Ph.D., President of the Management
Board of the Warsaw Stock Exchange
In 1990 Mr. Rozlucki was Advisor to the Minister of Finance of Poland.
In 1990-1991 – Director of the Capital Markets Development Department
in the Ministry of Privatization, in 1991-1994 – Member of the Polish
Securities Commission, in 1993-1995 – Member of the President’s Economic
Development Council.
Mr. Rozlucki is a President of the Management Board of the Warsaw Stock
Exchange, member of the Supervisory Board of the National Depository
for Securities, and the Board’s Chairman. He is also member of the Corporate
Governance Best Practices Committee established in 2001 within the framework
of the Corporate Governance Forum. In 1995-2002 Mr. Rozlucki served
as a Chairman of the Co-ordination Committee for the New Trading System,
in 2002-2003 he was a Chairman of the Capital Markets Development Forum,
Member of the Forum’s Presidium, Member of the Board of the Foundation
for Capital Markets Development. Member of the Working Committee of
the World Federation of Exchanges (former FIBV), member of the Working
Committee of the Federation of European Securities Exchanges (FESE).

Tomas Fiala, managing director at the Kyiv-based
investment bank Dragon Capital, has ten years experience from Central
and Eastern European securities markets. Fiala started his career at
Bayerische Vereinsbank in Prague in 1994 following studies at the Prague
University of Economics. In 1995, he moved to Wood & Company, a
leading investment bank in the CEE region, and was shortly sent to Ukraine
to establish and run Wood’s operations in the country. Under Fiala’s
leadership, Wood & Co. became one of the top investment banks in
Ukraine. Following the 1998 crisis, Fiala moved to Wood’s Warsaw office
to launch an on-line brokerage. In 2000, he and his former Ukrainian
colleagues from Wood teamed up to establish Dragon Capital and led it
to become one of the most successful investment banks in the recovering
Ukrainian market. At Dragon, Fiala is responsible for strategic management
of the firm and heads its investment banking division. He has managed
transactions for Interbrew, Bonduelle, CRH and other multinational clients.

Szabolcs Czenthe is a Head of the Investor Relations
of Matav Group, Hungary. During his university years he had worked for
MOL Rt. as controller, and from 1995 worked at the privatization office
of MOL where he participated in all three privatization transactions
of the company. From 1997 he was responsible for the development and
operation of the investor relations of MOL Group. Since February 11,
2002 he has been head of the Investor Relations of Matav Group. Both
at MOL and Matav, he won several IR awards. The latest success was achieved
in Budapest where Matav Group IR won the following awards: Grand Prix
for Best Overall Investor Relations, Best Corporate Governance, Best
Social Responsibility, Best IR web site, Best IR in Hungary. He is the
Chairman of Issuers’ Committee at the Budapest Stock Exchange.

Dmytro Dragun, Finance Director, Ukrproduct Group
Ltd, Ukraine-Jersey, and Finance Director and Board Member Ukrproduct
Group Ltd, producer of dairy-based branded FMCG products and Ukraine’s
first public company on London Stock Exchange, section AIM.
Develops and implements the Group’s overall financial and fund-raising
strategy, supports investor communications and the programmes of investor
awareness, coordinates and oversees the Group’s IAS/IFRS audits, including
the production of annual reports, facilitates the Board work via coordination
of efforts with Chief Executive Officer, collates the trading updates
and other ad-hoc reports as requires by the Group’s activities.

Armen Khachaturyan, partner, head of banking,
finance and securities practice group, Shevchenko Didkovskiy & Partners
Mr. Khachaturyan has extensive banking, finance and project finance
experience, particularly in secured lending transactions in various
industries, and led the firm’s team working on several Eurobond issues.
His practice areas also include general corporate advice, M&A, securities,
employment law, currency control, energy, natural resources and privatization.
Mr. Khachaturyan frequently advises foreign and Ukrainian clients on
cross-border legal planning and regulatory issues related to foreign
investment.
Mr. Khachaturyan started his legal practice as an intern in the law
firm of Sills, Cummins, Zuckerman, Radin, Tischman, Epstein & Gross,
New Jersey, USA (ABA/Soros Foundation sponsored program), in 1991-1992.
Prior to joining Shevchenko Didkovskiy & Partners, Mr. Khachaturyan
was an associate at Squire, Sanders & Dempsey, L.L.P. in its Columbus
office, Ohio, USA (1995-1998), and Kyiv office, Ukraine (1998-2001),
where he worked on diverse corporate, finance and real estate projects.

Dmitriy Tomashevskiy, Managing Director, Sokrat
IFG, was engaged in international commodities trading for the period
of 1995 -1999. Since 1999 till 2004 he pursued opportunities in investments
and options trading modelling. In 2004 he worked for UkrSibbank IB department.
Mr. Tomashevskiy joined Sokrat in 2004 to accelerate Investment Banking
Advisory activities.

Narek Harutyunyan, Partner, Trust Capital Group,
specializes in the areas of business process optimization and corporate
governance, as well as in management of complex projects involving both
CIS and western organizations. Dr Harutyunyan is well acquainted with
business processes of companies operating in the transitional economies,
and the management and development challenges they face, having gained
practical experience while working with the International Finance Corporation,
as well as having founded and managed his own company in Armenia.
He moved to Ukraine in 2004 to become a founding partner of Trust Capital
Group which consequently coordinated, managed and successfully accomplished
the Initial Public Offering of the first Ukrainian company on the London
Stock Exchange. Apart from his current position, Dr Harutyunyan is also
Deputy CFO of the holding company of Ukrproduct Group. He holds a PhD
in Management and Economics and an MBA from Oxford University.

Richard Smith, is Senior Counsel at the Washington,
D.C., office of the Russian-Ukrainian Legal Group (RULG), where he practices
corporate and securities law. Prior to joining RULG in 2000, Mr. Smith
worked for over four years in Russia, first as International Contracts
Director for Tver InterContact Group, then as an associate attorney
for the law firm Clifford Chance. Mr. Smith holds a degree in International
Relations from the College of William & Mary, received his juris
doctorate from the University of Baltimore, and is a member of the District
of Columbia Bar, the Maryland Bar, and the Bar of the Supreme Court
of the United States.

Andriy Khudo is a Head of Investment Department
of the Universal Investment Group. He is responsible for capital formation,
business plans and analysis, and project management. Mr.Khudo is also
a Chairman of the Supervisory Board of OJSC Concern Khlebrom. Earlier
he worked for JSC Concern Galnaftogaz as a Head of Analytical Department
and a specialist of Financial Department.
Mr.Khudo graduated from Lviv Ivan Franko National University with a
degree in finance. He also holds a master's degree in public administration
from the National Academy of Public Administration. He is currently
doing his post-graduate studies in the Lviv Ivan Franko National University.

Roman Bolotovsky graduated from Moscow State
Law Academy with a degree in law in 1994. He is a specialist in corporate
and economic law, and securities.
Since 1993 Mr. Bolotovsky has been working for Wimm-Bill-Dann Company.
In different years he was on boards of directors of different legal
entities.
Currently, Mr. Bolotovsky is a Head of Legal Department of Wimm-Bill-Dann
Foods OJSC and a member of the Board of Directors of Lianozov Dairy
Factory which is the largest company in the group.

Jorge Intriago is a Partner with PricewaterhouseCoopers
in Ukraine and has over 20 years experience of providing tax and legal
consulting to investors operating in developing countries. During his
time in Ukraine, he has assisted many multinational companies to consider
investment opportunities and develop Ukrainian business strategies;
performed multinational and domestic tax planning; and reviewed domestic
tax compliance. He has been directly responsible for managing and ensuring
the technical quality of all work for a number of clients, and has developed
broad expertise within the consumer products, telecommunications, banking
and energy sectors. In addition, Jorge is a member of PwC’s Mergers
and Acquisitions Group and European Capital Markets and Treasury Group,
and has theatre management responsibilities for Central and Eastern
Europe, Middle East and Africa for a worldwide top tier client. He lectures
and writes frequently on taxation in Ukraine, both in domestic and international
forums, and formed part of the tax reform sub-committee of the Interdepartmental
Committee on Economic Reform of the former Ukrainian government. Jorge
is a vice-president of the European Business Association (EBA) in Ukraine
and a delegate of the EBA with the Ministry of Finance and State Tax
Administration.

Serhiy Dzis graduated with high honors from the
Kiev State University Institute of International Relations and holds
a Master's degree in Private International Law. In March 2005, Mr. Dzis
received a Ph.D. in Civil Law, Civil Procedure, Family Law, and Private
International Law from the same university. Before joining the Russian-Ukrainian
Legal Group, Mr. Dzis initially worked for the CIS Intergovernmental
Scientific and Technical Council, where he handled international and
CIS Members-States labor law matters. He later took a position with
the Legal Department of the Ministry for Foreign Affairs of Ukraine
and passed the admissions examination for entrance into Ukraine's diplomatic
corps. While working in the public sector, Mr. Dzis devoted his attention
to legal analysis of international treaties, questions of sovereign
immunity and other issues of international public law. He then moved
to an in-house counsel position with a large British-Ukrainian Company,
where he dealt with a wide range of issues involving both international
and Ukrainian law. His areas of expertise include copyright and neighboring
rights, advertising law, telecommunications law, trade law, corporate
and business law, labor law, commercial litigation, information technology
and legal regulation of the Internet.

David Herbert is a Head of Emerging Europe Corporate
Finance, ING BAnk, responsible for originating and executing advisory/mergers
and acquisitions and equity capital markets assignments.
David’s transaction experience includes transactions in Russia, Poland
(TPSA strategic US$4.2bn sale), Hungary, Romania (Mobil Rom US100m private
placement, SNP Petrom on-going strategic sale), Portugal (Cimpor US$750m
IPO, Portugal Telecom US$860m advisory), Greece, Philippines, PRC (Zhenhai

In Russia, David led the ING teams in the IPOs of Mobile Telesystems,
Wimm-Bill-Dann, Pharmacy Chain 36.6 and Open Investments.
Before joining ING in 1989 David worked for British Petroleum plc in
various downstream oil and planning functions in the head office, Asia-Pacific
and Latin America. Between 1970 and 1978 he was a Lecturer in Economics
at Brunel University.
David has a PhD in Economics and speaks Portuguese.

Vladyslava Riabota is a graduate of Kyiv National
Taras Shevchenko University, Faculty of Law. She complemented her legal
background at Essex University, Great Britain as a British Council scholar.
Out of 13 years of her career as a lawyer, she dedicated more than 8
years to corporate governance. Among her areas of expertize are shareholders'
rights, M&A, directors' responsibilities, conflict of interests.
Vladyslava co-authored First Ukrainian Corporate Governance Manual and
Corporate Governance Case-Study Book and wrote numerous articles on
diferent aspects of corporate governance.
